Terms of Service

1. Acceptance of Terms

By accessing or using Smart Review ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use the Service. These terms apply to all users, including business owners (Admins) and their customers who interact with the review pages.

2. Description of Service

Smart Review is a review management platform that helps businesses collect customer feedback, manage online reviews, and build customer databases. The Service includes QR code generation, review routing, prize wheel gamification, customer data capture, and analytics dashboards.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • Each account is limited to one business. If you operate multiple businesses, you must create separate accounts for each.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to create an account.
  • You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to:

  • Use the Service to generate fake or misleading reviews
  • Directly incentivize customers to leave Google reviews (the prize wheel must remain separate from the review request to comply with Google's policies)
  • Collect customer data for purposes other than those described in your privacy disclosures
  • Attempt to access another user's account or data
  • Use the Service for any illegal purpose or to violate any laws
  • Attempt to reverse-engineer, decompile, or disassemble the Service
  • Upload malicious code, viruses, or harmful content
  • Spam, harass, or abuse customers through data collected via the platform

5. Google Review Compliance

Smart Review is designed to comply with Google's review policies. We do not directly incentivize Google reviews. The platform asks customers to rate their experience and then routes them to Google based on their sentiment. The prize wheel is a separate engagement feature. You are responsible for ensuring your use of the Service complies with Google's terms of service and review policies.

6. Customer Data Ownership

All customer data collected through your Smart Review pages belongs to you. You may export your data at any time via CSV. You are responsible for complying with applicable data protection laws (such as GDPR, CCPA, or PIPEDA) when collecting and using customer data through our platform.

7. Pricing and Payment

During our launch period, the Service is provided free of charge with all features included. When paid plans are introduced in the future, we will provide at least 30 days notice. Early adopters who signed up during the free launch period will receive a discounted rate. We reserve the right to change pricing with appropriate notice.

8. Service Availability

We strive to keep the Service available 24/7 but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime in advance.

9. Intellectual Property

The Smart Review platform, including its design, code, logos, and branding, is owned by Smart Review and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission. You retain ownership of your business content, logos, and brand materials uploaded to the platform.

10. Account Termination

You may delete your account at any time through the admin dashboard or by contacting us. We reserve the right to suspend or terminate accounts that violate these Terms. Upon termination, all your data will be permanently deleted within 30 days.

11. Limitation of Liability

To the maximum extent permitted by law, Smart Review shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service. This includes but is not limited to loss of profits, data, business opportunities, or reputation. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will increase your Google rating, generate a specific number of reviews, or produce any particular business results.

13. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes by email or through a notice on the platform. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
